A US LLC can solve a real banking, payment, marketplace or contracting need for a founder living in Turkey. It does not, however, move the founder's work out of Turkey or automatically remove Turkish tax obligations. The US entity classification, federal information filings, state maintenance, contracts, owner withdrawals and Turkish tax residence must be reviewed as one file.

## Short Answer

A non-US person may generally own a US LLC. A domestic single-member LLC may be disregarded for US federal income tax unless it elects corporate treatment, while a multi-member LLC may default to partnership treatment. A foreign-owned US disregarded entity can still have Form 5472 and pro forma Form 1120 filing obligations even when no US income tax is due.

If the founder lives and performs the work in Turkey, Turkey may also tax or require reporting of the income. Keeping revenue in a US bank or Stripe account does not by itself remove that connection.

## Start with the Four-Step Review

Use the bilingual tool to separate the entity decision, prior filings, owner transactions and bank/payment readiness. Answers remain in your browser unless you choose to email the generated summary.

## Which Structure Are You Actually Using?

| Structure | Common federal treatment | Core file to review |
| --- | --- | --- |
| Foreign-owned single-member domestic LLC | Disregarded entity unless a corporate election applies | Form 5472 with pro forma Form 1120; owner transactions |
| Multi-member domestic LLC | Partnership unless a corporate election applies | Form 1065, Schedule K-1 and foreign-partner rules |
| LLC with a corporate election | Corporation | Form 1120 and the validity/date of the election |
| Delaware C-Corp | Corporation | Form 1120, Delaware annual report and franchise tax |
| Foreign individual with a US trade or business | Individual filing may arise separately | Form 1040-NR, treaty and effectively connected income analysis |

The word “LLC” does not answer the federal tax question. Confirm the number of owners, elections, tax year and actual activities before choosing a form or deadline.

## When Can Form 5472 Apply?

A foreign-owned US disregarded entity may need to report transactions with its foreign owner or other related parties. The review can include:

- Money contributed by the founder at formation.
- Company expenses paid with the founder's personal card.
- Loans between the founder and the LLC.
- Expense reimbursements.
- Owner withdrawals and distributions.
- Payments to another company controlled by the founder.
- Transfers of services, intellectual property or other assets.

No customer revenue does not automatically mean no reportable transaction. IRS instructions describe a USD 25,000 initial penalty for failing to file Form 5472 correctly and on time or maintain the required records.

## Does a US LLC Remove Turkish Tax?

No general exemption arises merely because the company was formed in Delaware or Wyoming. A Turkey-resident founder should review:

1. Where the founder is tax resident in 2027.
2. Where the business is effectively managed.
3. Who signs and performs the customer contract.
4. Which entity owns the product and intellectual property.
5. Which entity issues the customer invoice.
6. Why money is transferred from the LLC to Turkey.
7. Whether a Turkish sole proprietorship or company is also involved.
8. Whether foreign tax paid is supported by documents usable for a Turkish foreign-tax-credit review.

Turkey's special foreign-income exemption under Income Tax Law repeated Article 20/D is subject to new-residency and prior-period conditions. It is not a general exemption for every existing Turkish resident who owns a foreign company.

## Stripe and US Banking Are Separate Decisions

A US company may be part of the requirements for a US Stripe account, but incorporation alone does not guarantee approval. Stripe may verify the legal entity, EIN, people associated with the business, bank account, business location, website, products and customer-facing terms.

A registered agent receives legal service in the formation state. That address should not automatically be treated as proof of the company's real operating location for bank or payment verification.

Before forming a company only for payments, compare:

| Route | Best question to ask |
| --- | --- |
| Existing Turkish company and local payment provider | Can the current structure serve the real customer base? |
| Merchant of Record | Who is the seller to the customer and who handles indirect taxes? |
| US LLC and US payment account | Can the company meet verification and annual compliance requirements? |
| Delaware C-Corp | Is fundraising and equity issuance the actual goal? |

## Delaware, Wyoming and Other States

The formation state does not contain every state obligation. Inventory, employees, offices, events, marketplace activity or sales thresholds can create a connection elsewhere.

Delaware LLCs generally do not file an annual report but track the state's annual LLC obligation, generally due by June 1. Delaware corporations follow a different annual report and franchise-tax process. Wyoming annual reports are tied to the entity's anniversary month. State amount and status information should be checked in the official portal on the filing date.

## BOI Reporting in 2027

FinCEN's current rule, updated in August 2026, exempts US-created entities from BOI reporting. Certain foreign entities registered to do business in the United States can remain in scope. This change does not remove IRS forms, state maintenance or Turkish tax obligations. Recheck FinCEN's current page when preparing the 2027 file.

## Evren Özmen's Assessment

The recurring problem is not the formation document. It is the gap between four records: the US state file, the IRS classification, the bank/payment narrative and the Turkish tax file. A defensible structure tells the same economic story in all four places. The best time to establish that story is before the first customer payment or owner withdrawal, not after a bank review or late-filing notice.

## Initial Review: What to Send

You do not need to send complete bank statements at the first step. Use the [contact page](https://evrenozmen.com.tr/iletisim) or the bilingual review tool and provide:

- Business model and customer countries.
- Entity type, state and formation date.
- Owners and their 2027 countries of residence.
- EIN status and prior US forms.
- Bank, Stripe, Amazon or other platforms used.
- Any Turkish company or self-employment activity.
- How money is or will be transferred to Turkey.
- The tax year or transaction causing concern.

## Frequently Asked Questions

### Does a single-member LLC always file Form 5472?

The answer depends on foreign ownership, federal classification and reportable related-party transactions. A foreign-owned US disregarded entity should be reviewed even if it had no sales.

### Is an ITIN required to form or own the LLC?

Not in every case. An EIN identifies the business. An ITIN is an individual tax number issued for a valid federal tax purpose when the person is not eligible for an SSN. A later personal filing can create a separate ITIN question.

### Is money left in the US bank outside Turkish tax?

Not automatically. Turkish residence, source and character of income, place of management and the founder's work in Turkey remain relevant.

### Can the LLC pay the founder in Turkey?

It can transfer money, but the transfer must be classified and documented as compensation, reimbursement, loan repayment, distribution or another genuine transaction. A bank memo alone does not determine the tax treatment.

### Does Form 7004 extend tax payment?

Generally no. A valid Form 7004 can extend the filing deadline for eligible returns, but it does not automatically extend payment or separate state and Turkish obligations.

### Should a venture-backed startup use an LLC?

Many investors expect a Delaware C-Corp, but the decision should follow the fundraising plan, ownership and governance requirements. It should not be based only on online formation speed.
