Stopping sales or emptying a US bank account does not close a US LLC. A founder living in Turkey normally needs to coordinate the state cancellation or dissolution, final federal filings, prior-year information returns, bank and platform records and the Turkey-side treatment of the remaining money and expenses.

Short Answer

Do not file a state cancellation before checking missing federal and state periods. First identify the LLC's state, ownership and tax classification; reconcile owner contributions and withdrawals; determine which final or overdue forms apply; then complete the state process, close operational accounts and retain the evidence. The IRS does not cancel the EIN, and a business account is not treated as closed until required returns are filed and taxes are handled.

The Turkish-language technical guide remains the main detailed resource: https://evrenozmen.com.tr/abd-llc-kapatma-eksik-beyan-gecmis-yil-vergi-riski

Five-Minute Closure Triage

Use the focused Form 5472 Risk Check if the LLC has one foreign owner, owner-paid expenses, initial funding, withdrawals or missing prior filings.

For the broader entity and Turkey-side review, use the US Company 2027 Initial Review.

The Closure Has Four Separate Tracks

Track What must be checked Evidence to retain
State Cancellation/dissolution form, status, annual tax or report Filed certificate, payment and status confirmation
Federal Final return, information returns, prior omissions, IRS account Accepted filings, delivery/e-file evidence and correspondence
Operational Bank, Stripe, Amazon, registered agent, licences and contracts Final statements, closure confirmations and reconciliations
Turkey Founder transfers, foreign income, expenses and company relationship Bank records, agreements, invoices and tax workpapers

Closing only one track leaves the others open. A bank closure does not cancel the entity; a state cancellation does not repair a missed Form 5472; and a final US filing does not classify the transfer of remaining funds to Turkey.

Step 1: Identify the LLC's Real Tax File

Before signing a cancellation form, confirm:

  • formation state and exact legal name
  • formation date and current state status
  • single-member, multi-member or corporation election
  • citizenship and tax residence of every owner
  • EIN and IRS responsible-party record
  • first and last transaction dates
  • sales, expenses, owner funding and withdrawals
  • prior Form 5472, pro forma Form 1120, Form 1065, Form 1120 or Form 1040-NR filings
  • registered-agent, annual report, franchise and sales-tax accounts

An “unused” LLC may still have reportable activity. Formation funding, an owner-paid registered-agent invoice, a bank transfer or a return of capital can matter even if no customer ever paid the company.

Step 2: Reconstruct Missing Years Before Cancellation

For each year, reconcile the state record, bank and payment-platform statements, owner transactions and filed federal forms. If a foreign-owned single-member domestic LLC had reportable related-party transactions, Form 5472 with a pro forma Form 1120 may be required.

IRS instructions state that failure to file Form 5472 when due and in the prescribed manner can trigger a $25,000 initial penalty. Additional penalties may continue after IRS notice if the failure is not corrected. This makes “close first, investigate later” a poor sequence.

Step 3: Complete the State Process

The required filing depends on the formation state and entity type.

Wyoming LLC

Wyoming publishes Articles of Dissolution for an LLC. Before filing, confirm the company's status, annual-report position, authority to sign and any separate registrations in other states.

Delaware LLC

Delaware uses a Certificate of Cancellation for an LLC. Delaware law also links cancellation to the payment of amounts due under the LLC annual-tax rules. Use the current form and live state record rather than an old service-provider checklist.

Other states and foreign qualifications

If the LLC registered to do business in another state, cancelled sales-tax or payroll accounts, or held a local licence, those accounts may require separate withdrawals or final returns.

Step 4: File the Correct Final Federal Documents

The final federal package depends on classification:

Structure Possible final filing path
Foreign-owned single-member domestic LLC Form 5472 with pro forma Form 1120 when applicable
Partnership-taxed LLC Final Form 1065, K-1/K-3 and foreign-partner review
Corporation-taxed LLC or C-Corp Final Form 1120 and related schedules
Foreign owner with a personal US filing position Form 1040-NR and related forms may require separate review

Marking a return “final” is not a substitute for checking earlier years. Extension filings also need to match the correct entity classification and tax period.

Step 5: Close Accounts in the Right Order

Do not lose access to the evidence needed for the final file. A practical order is:

  1. Download complete bank and payment-platform statements.
  2. Export Stripe, Amazon, marketplace and bookkeeping reports.
  3. Settle customer refunds, chargebacks, vendor invoices and taxes.
  4. Document the legal nature of any final owner payment.
  5. Close sales-tax, payroll, licence and foreign-qualification accounts where applicable.
  6. Complete the state and federal closure sequence.
  7. Close the registered-agent, bank and platform relationships when records are secured.
  8. Retain the final filings, confirmations and underlying records.

Turkey-Side Questions Before the Last Transfer

For a founder living in Turkey, the final transfer should not be described only as “remaining balance.” Determine whether it represents:

  • return of owner capital
  • repayment of a documented owner loan
  • reimbursement of a business expense
  • business income
  • salary, service payment or distribution
  • proceeds connected to an asset transfer or liquidation

The US label “owner draw” does not by itself decide the Turkish tax result. The source of the money, prior accounting, legal entitlement and supporting documents need to agree.

2026 Year-End and 2027 Timing

If the company will not be used in 2027, complete the classification and records review before December 31, 2026. A rushed state cancellation on the last business day can create gaps if bank statements, owner transactions or prior federal filings have not been reconstructed.

For calendar-year files, 2027 federal dates vary by classification. A partnership filing generally points to March 15, while Form 1120 and the pro forma Form 1120 used with Form 5472 generally point to April 15. Extensions may move filing dates but do not automatically extend payment or state deadlines. Use the full calendar: https://evrenozmen.com.tr/abd-llc-2027-yillik-vergi-beyan-takvimi

Evren Özmen's Assessment

The decisive question is not whether the company had revenue. It is whether the legal entity, federal filing history, owner transactions, state status and Turkish records can be closed to the same date. A clean closure file should allow a reviewer to follow every remaining dollar from the LLC to its final legal and tax classification.

Request a Closure File Review

Use the contact form and include the formation state and date, ownership, EIN, last activity date, prior filings, current state status, bank/platform balances and the founder's Turkish tax position. The first review separates overdue periods from the actual closure steps.

Frequently Asked Questions

Can I ignore an LLC that never earned revenue?

No. State maintenance and federal information filings can arise even without revenue. Owner funding or owner-paid expenses may also be relevant.

Does cancelling the LLC with the state close the EIN?

No. The EIN remains assigned. The IRS business account is handled through the final-return and account-closing process described by the IRS.

Should I close the bank account first?

Download and reconcile all records before access is lost. The final balance and transfer must be documented before the account is closed.

Can a missed Form 5472 be fixed after dissolution?

The entity's state status and its federal filing history are separate issues. A prior omission may still need correction and penalty-risk analysis after state cancellation.

Does the final transfer to Turkey become tax-free because the LLC is closed?

No. The transfer must be classified from the underlying records. Closure does not automatically turn income or a distribution into a tax-free payment.
